Terms and Conditions

1. Acceptance of Terms

Accessing and using Agencia Rubik's services implies full and unconditional acceptance of these Terms and Conditions. If you do not agree, please refrain from using our services.

2. Quotes and Estimates

All quotes and estimates requested from Agencia Rubik are completely free and without any obligation to contract.

Quotes are valid for 30 days from issuance, unless otherwise indicated.

Prices do not include VAT or other applicable taxes unless expressly stated.

3. Payment Terms and Project Start

Once the start of a project is approved, payment of 30% of the total value is required as a deposit and schedule reservation before work begins.

The remaining balance may be paid according to the milestone schedule agreed upon in the commercial proposal.

Work will not begin until confirmation of the deposit payment and signing (digital or physical) of the work order.

4. Timelines and Deliverables

Delivery dates expressed in proposals and schedules are estimates and subject to:

• Timely receipt of materials, content, and feedback from the client.
• External factors beyond Agencia Rubik's control.

If it is necessary to extend estimated timelines, Agencia Rubik will notify the client in advance, explaining the reasons and proposing new delivery dates.

Delays in the delivery of information by the client may directly impact the project's final timelines without liability for Agencia Rubik.

5. Intellectual Property and Usage Rights

Until full payment of the project, all intellectual property rights over deliverables remain with Agencia Rubik.

Once 100% of the project is paid, the client will be granted commercial usage rights over the final approved deliverables, unless specific written agreements state otherwise.

Source files, methodologies, libraries, and proprietary tools of Agencia Rubik remain the agency's intellectual property, unless expressly agreed otherwise.

6. Changes and Project Scope

Any modification or extension of the original scope must be requested in writing and may lead to adjustments in both budget and timelines.

Agencia Rubik reserves the right to reject requests that distort the original objective of the project or involve unethical or illegal practices.

7. Limitation of Liability

Agencia Rubik will act with due professional diligence, but does not guarantee specific commercial results (sales, rankings, conversions) derived from the use of deliverables.

We are not responsible for content provided by the client that infringes third-party rights or applicable regulations.

8. Confidentiality

Both parties agree to treat as confidential any information exchanged during the commercial relationship, using it only for project purposes.

9. Termination and Cancellation

The client may cancel the project at any time by notifying in writing. In such case:

• If cancellation occurs before work starts, 100% of the deposit will be refunded.
• If work has already started, a proportional percentage to the progress will be retained.

Agencia Rubik reserves the right to suspend services in case of non-payment or breach of agreed conditions.

10. Applicable Law

These terms are governed by the laws of Uruguay. Any dispute will be resolved in the competent courts, unless a prior mediation agreement is reached.
